Terms of Service
Last updated: October 13, 2026
These Terms of Service (“Terms”) govern your use of realtybackdesk.com and the Realty Backdesk service (the “Service”), provided by KeyPunch Labs LLC, an Ohio limited liability company (“we,” “us”). By using the Service you agree to these Terms. If you have a separate written agreement with us, that agreement controls where it conflicts with these Terms.
1. The Service
The Service analyzes mailbox data you provide to identify dormant contacts, prepares a profile of each, and drafts follow-up emails, delivered to you as a report. The Service doesn't send email on your behalf. You decide whether, when and how to contact anyone, and you remain responsible for every message you send.
2. Your responsibilities
- You may only provide mailbox data you are authorized to share, and you're responsible for having the rights and permissions to do so, including under your brokerage's policies.
- You're responsible for complying with laws that apply to the messages you send, including the CAN-SPAM Act, fair housing laws, and real estate licensing and advertising rules, and for honoring opt-out requests.
- You'll review drafts before sending them. Drafts and profiles are generated with the help of AI and may contain mistakes.
- You won't use the Service for unlawful, deceptive or harassing purposes.
3. Data
You keep all rights to your mailbox data. You grant us a limited right to process it solely to provide the Service to you, as described in our Privacy Policy, which is part of these Terms.
4. Fees
Fees, if any, are as agreed with you in writing before the engagement begins.
5. No guarantee of results
We don't guarantee that any contact will respond, become a client, or lead to a transaction. The Service doesn't provide legal, tax or real estate advice.
6. Disclaimer
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
7. Limitation of liability
To the fullest extent permitted by law, we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us for the Service in the three months before the claim arose.
8. Ending the Service
Either of us may end the engagement at any time. When it ends, we delete your mailbox data and everything derived from it as described in our Privacy Policy.
9. Changes
We may update these Terms. We'll update the date above and, for material changes, notify active clients before the change takes effect.
10. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.
